Tony does lose his large paycheck if he take the offer but he also owns 0.7% of company (roughly 3,120,600 shares). To accept $3.50 instead of $4 would cost him roughly 1.5M. The higher offer is both good for him, his mate mark and share holder.
Its nice to have the director directly impacted by their decisions.
Not to mention his options.
