Seems to me to be a reverse take over - effectively a backdoor listing - by the Canadian company. Likely why the ASX is giving it the once over. There is a belief that it is easier to raise mining funds on the ASX, for juniors at least, than anywhere else. Expect changes on the Board and with executives at Omnia if the ASX gives the deal it's approval
