Even if the offer price for the capital raising is set at yesterday's close of 14 cents they'll have to issue about 360M new shares just to cover the outstanding debt to Upwell ($US31M or $A49M). This is more than half of the current number of outstanding shares. Then add a bit more for working capital. If it's a placement going to one institution they will own in excess of half the Company. Ultimately a takeover?
