How could you possibly get to “ removal of an Auditor “. .. from this release?
Omni Bridgeway Limited (Omni Bridgeway or Company) confirms that the Company’s auditor BDO (BDO) was appointed as auditor of Omni Bridgeway in May 2021 as per the Company’s announcement dated 17 May 2021. Due to an inadvertent omission in the subsequent 2021 notice of annual general meeting, the appointment of BDO as the Company’s auditor was not approved or ratified as required by shareholders at the Company’s 2021 annual general meeting held on 30 November 2021 (BDO Approval).
This is a procedural matter and the quality and the substance of BDO’s audit work is not in any way in question.Omni Bridgeway will apply to the Supreme Court of Western Australia (Court) for orders under the Corporations Act 2001 (Cth) (Corporations Act) declaring that the appointment of BDO as the Company’s auditor from 30 November 2021 is not invalid and does not constitute a contravention of Chapter 2M of the Corporations Act. Further, the Company will seek additional orders that the cleansing notices released upon the issue of shares in the intervening period (Cleansing Notices) are not invalid, notwithstanding the failure to obtain the BDO Approval. The Company at the time of issue of the Cleansing Notices believed it was in compliance with Chapter 2M of the Corporations Act.The Company does not consider this to be price sensitive but,
in accordance with legal advice,
