My thinking on this is it might have been done that way gift wrapped with a bow as time was short. If you were looking for investment funds and fast, providing a nice little sweetener for those providing the funding is a sure way of securing the $$.
The Sophs / Instos would be happy knowing that if it goes foul they can sell off on the market with some confidence of full recovery, and Dusko would be satisfied also, knowing that if he is happy with the results so far, it’s no big deal giving them a sweet discount because any discount and dilution to holders will eventually count for nought when the SP has skyrocketed.
Just my thoughts and speculation.
