Capital Raising to raise $4m (the Offer); comprising:
 Placement to raise $4m under the Company’s LR
7.1 placement capacity;
 Each investor will also be allocated an attaching
unlisted option on a 1-for-1 basis, at a strike price
of $0.0675 (69% premium to the placement
price), expiring May 2027 (Attaching Options);
 Funds managed by Oaktree Capital
Management, L.P. (Oaktree) will be participating
in the Offer up to $0.55m (assuming $4m raise)
to maintain its current equity interest (13.84%) in
EQ Resources; and
 The Company reserves the right to take
oversubscriptions.

 20% to last traded price of $0.050 per share
 23% to the 5-day VWAP of $0.052 per share
 28% to the 15-day VWAP of $0.055 per share
