If it's a done deal behind the doors at 1.2c then we are no worse off than right now. Plus we would have millions more in cash (and dilution). All in all, I would prefer a quick instos only CR with minimal or no discount and get it over with. Uncertainty over the CR is what kills the SP if the CR drags out forever.
