If the news is market sensitie then they cannot sit on it. Legally they are safe because they ahve asked for trading halt of the stock So no one can benefit or suffer losses from it. If they had the news re better offer and were sitting on it without trading halt they will be in trouble. It looks to me more like a better t/o bid that is the reason there is trading halt as the details may be getting worked out.
