I agree that a cornerstone investor is an unlikely option.
The TH is worded as a potential change of control transaction "involving" the company, not "of " the company which IMO leaves it open for a demerger of an asset, either Javelin or more likely Tererro. I don't think you need to value Tererro but simply to do an in-specie distribution of shares in the new company to existing holders of NWC as they did in Koba and do an IPO of the new company to raise some funds.
