The independent expert (which has its’ reputation to protect) was brought in to assess some dealthe company was trying to wrangle and essentially wrote it was not fair nor reasonable but, given the circumstances, the recommendation was that it go ahead as the company had no choice.

2) Given that the early yes votes came from institutional investors and company ‘insiders’ who very likely had a broader grasp of the situation than a bunch of sour ‘back seat’ drivers on HC, I think it’s fair to criticise them for being so negative before seeing the independent expert’s opinion.

And the example is not relevant....TMT has a choice....in the absence of a better offer...to continue to go it alone
