The deal doesn't go away ... it just becomes a TO offer, and then RMS have to increase the offer until they get enough acceptances. As a bonus, a TO offer has no sweetheart component for the SPR board.

Agreed, regardless of whether you're for the two businesses becoming one (I'm personally in this camp. Joelstar's 1+1=3) strategically from an SPR holders point of view it makes sense to vote no and force a bid.
