This is work I've done myself before.
You do the work for free (or charge a small retainer) to do a strategic review. The bigger fees are when a transaction takes place... The simple reason why investment banking works that way is that advisory fees outside a transaction go through the P&L (so companies hate it) rather than the cash flow statement (fees added to purchase price).
