If the Scheme becomes Effective:
Cash consideration is $5 a share:
Or if applicable, Scrip Consideration to be provided to each Scheme Shareholder {Us}for the transfer to Bidder {Buyer} of each Scheme Share.
Scrip Consideration means [*] TopCo Security per Scheme Share {TopCo to provide “Provision of Scrip Consideration” then added to the register of members}
Each TopCo Security issued as Scrip Consideration will,on issue: (a) rank equally in all respects with all other TopCo Securities in the same class; and (b) be fully paid and free from any Encumbrance and third party rights or interests of any kind, whether legal or otherwise.
On the Implementation Date, TopCo must send or procure the sending of a certificate to each Scheme Shareholder to whom TopCo Securities are issued under this Scheme, reflecting the issue of such TopCo Securities.
This offer option needs clarification – My understanding is if a UWL share holder don’t want to sell their shares they can take up a bidders “script offer” {issued with a number of TopCo Securities that invests your money into their Company}
My questions : How the script is valued ? how easy in finding its current value if not listed on the ASX ? how to determine a time frame for that investment, are dividends paid ? and how to sell when required.
This whole takeover process has some time to playout as other posters have mentioned, time frame processes that l have picked up:
- End date means the date that is 8 months from the date of the Implementation Deed, or such other date as agreed in writing by Target and Bidder.
- Indicative Timetable : Signing of scheme implementation deed 13 April 2022 Scheme Booklet provided to ASIC in draft Mid to late May 2022 First Court Hearing June 2022 Scheme Meeting June / July 2022 Second Court Hearing July 2022 Effective Date July / Early August 2022 Scheme Record Date July / Early August 2022 Implementation Date July / Early August 2022
So we are talking August 2022 with this Offer and at its conclusion the buyer added a carrot dividend : To pay a special dividendof an amount up to $0.11 per share !!!!
