From what I've witnessed over a couple of decades, any serious bidder would put an 'exclusivity, no shop, no talk' premium down on the table for the right to 'exclusive due diligence', it demonstrates they're serious and willing to stake a deposit/premium on that 'exclusivity' as such, otherwise it's just much like 'kicking the tyres' with a used-car salesman...
Buying a 15% stake and then demanding 'insider access' appears 'arrogant' in my opinion, somewhat the 'reverse' of Elon Musk's approach with his Twitter bid, went in high @ US$54.20 (offering a premium for full 'unfettered' disclosure), only to reduce his bid because their 'moves' demonstrated his reservations/concerns around 'fake/AI' activity on the platform...
IMF are a huge market-player, but really are no different to any other 'punter' out there trying to 'invest' into 'generational, free cash-flow' accretive assets, pay the 'exclusivity premium' (which is generically forfeited if they walk post due-diligence), or divest and look elsewhere...
