"Where does it say that?"
FFS it is fundamental investment theory...the very basis of financial markets is to purchase something as far below its valuation as possible. Why would the shareholders who choose not to participate in the buy back want the company to spend more capital than necessary to purchase the stock. It does not make sense. Currently the company is buying something that is valued at 5c for 1.5c...why would BRK management want to pay more for it.
Think about it...while a CR dilutes shareholder a buyback reduces dilution. After a buyback shareholders who did not participate hold a greater % age of the company.
