Yes- it's got a whiff about it but unfortunately these arrangements (and far worse) are commonplace in corporate Australia. Doesn't make it right though. Loans I can live with but it's the limited or no-recourse nature that irks me which completely insures the recipient from loss as opposed to equity holders where it's all on the line. Good thing is they expire in 12 months so DP has reason to both ensure the company is firing organically & that a monetisation event is announced within that time frame which would be a win-win for all
