From my discussions with several companies in buy-back phases, this is pretty much the strategy. They identify a level that is the maximal point at which they would not want to be buying and then issue the directive for shares to be acquired whenever feasible, at prices lower than that ‘ceiling price’. Typically, this ceiling price is a share price they believe to be too close to their perceived valuation of the company’s shares.
