It's a good question generally the company would look at the value, and what their offer price is then the share price equivalent comes after. It's nice when it ends up being a round number, so sometimes the offer price is adjusted to reflect a nice round number. In the case of a scrip acquistion it's more difficult because scenarios like the 1:1 offer need to take into consideration the amount of shares on offer for both companies, the offer price (what they want to pay) and how that offer price translates to a $ per share figure to get shareholders of both companies onboard.
