This is not the time to argue if $1.3 million is sufficient or not. If it was not a sufficient amount, that could have been told to EMC in Feb 2010 to cough up more dough or walk away...not in Feb 2012...that is no point to reject the JV IMO...
If JRV had a problem with their proposal technically, it had a lot of opportunity to bring it to their notice and work together to find the best fit (as we have a big financial commitment for any production down the line)....
