I wonder what condition this company would be in with an independent, experienced board who were acting in the best interests of the company not themselves.

This situation should not be allowed where the Chairman is the CEO and the other board member represents the interests of the major shareholder. It was too late in June 2018 but when Rogers became CEO he should have stepped down as Chairman and maybe this stuff up may not have occurred.
