If you read the quarterly again they did warn that their was a number of hoops to jump through before the deal could be signed off on, let alone go ahead.
They spent over 2 months trying to get this away in a bull market but couldn't, you can draw your own ideas as to why that was.
People will be trimming now for the cap raise. Company can't move forward without it.
