You're right. Directors have legal responsibilities & liabilities when they sign off on the accounts (as do auditors), amongst other legal duties & responsibilities.
Shareholders are entitled to believe these responsibilities have been met.
This is where ASIC is involved, in determining what breaches of those responibilities have occurred.
Once all those breaches are identified, we attack.
