I think this is the bit that forced the hands of BOD
Besides knowing they would have a hard time from shareholders if they back-pedalled further, the 'self interest' factor looks to be play here, too. Better off just drawing a wage rather than execute the deal, lose the wage and get no immediate incentive outcomes. This may not be the actual case, but it is how it looks.
