The current market cap of TDG Corp is CAD $37.6M.

Based on their press release, TDG Corp is going to raise a private placement and have proceeds of at least CAD $35M at $0.50 per subscription price. This was announced on 19 Oct 2021.

Based on their financial statements, as of 30 April 2021, TDG Corp has $6.2M

Based on the payment deliverables,

• $25M CAD payable to Kingsgate upon completion of the transaction
• Kingsgate will hold 14% of TDG’s outstanding shares
• $6.25 CAD payable to Kingsgate within 3 months of completion

From the looks of it, if TDG Corp is successful in doing the private placement, the deal should go rough. The math adds up.

The delay could be due to TDG Corp’s timing on closing its own private placement. I think this shows the attractiveness of Kingsgate's Neuva Esperanza asset. If it fails, we'd get the non-refundable deposit of CAD $1.5M.
