"As noted in our announcement to ASX earlier today, our current Chairman, Mick Bolto, is retiring from the Board with effect from 1 May 2018 and Steve Liebeskind will be appointed as a director on an interim basis. As a result of these changes, the original resolution 2 under which Mick Bolto sought re-election as a director has been withdrawn and replaced with a new resolution seeking election of Steve Liebeskind as a director.

In addition, in response to feedback from our shareholders, the Board has decided to make the following changes to the resolutions included in the original Notice of Meeting which was despatched to shareholders on 10 April 2018:  Withdrawing original resolutions 7 - 10 providing for the grant of options to our Non-Executive Directors;

 Withdrawing original resolution 13 seeking approval for the extension of the expiry date of certain employee options;

 Amending the resolution for the approval of the Long Term Incentive Plan (Plan) to remove the reference to financial assistance approval as loan funded shares will no longer be permitted under the Plan."

" RESOLUTION 4 - ISSUE OF SHARES TO LOUIS DINARDO To consider and, if thought fit, to pass with or without amendment, the following resolution as an ordinary resolution: "That, for the purposes of: (a) Listing Rule 10.11 and for all other purposes, Shareholders approve the issue of up to 15,000,000 Shares to Louis DiNardo (and/or his nominee); and (b) Listing Rule 7.1 and for all other purposes, Shareholders approve up to 7,500,000 of the 15,000,000 Shares referred to in sub-paragraph (a) being instead issued to one or more third parties nominated by the Company, to satisfy United States withholding tax liability in relation to the issue of Shares to Louis DiNardo on the terms and conditions in the Explanatory Memorandum." Note: This resolution is subject to voting exclusions as set out at the end of this Notice of Meeting.
