Yep, it's clearly a cap raising in my mind - but without the BYE's there isn't much cash to rip out. You'd think that they'd just 'can it' at this point and go for something like MPO. Litigation risk there, but the shareholders would pounce on an exit strategy.
Edit: I forgot that the main element is apparently cost savings and synergies....so scrap that....
