If it were an cash takeover bid, then SP should rally to within 2% of the takeover price. But this is not an on market takeover bid, and shareholders cant simply accept the offer and receive cash at hand. The entire scheme falls apart if it doesnt get 75% of the votes and no one receives anything. I think the ~8% discount is reasonable, and that discount might narrow (or widen) closer to the vote.
