So much speculation, it's actually hilarious how little some people know and how little they comprehend from reading things.
Like the guy who is saying that $950K of shares wasn't much. That was at 1c, and SPX topped out at 11c. So $950k is worth $12M. That's a good deal for the vendors. So of course VMC isn't suing the vendors. Anyone who suggests this needs to lay off the turps and sober up before reading. THe vendors sold to whomever they thought had the best deal. They seem to have chosen wisely, for they went with Spectrum and got a ten bagger on the vendor shares....assuming they get to exercise them. Maybe a 5 bagger.
So, Spectrum. It bought the project, and did the work. Now, the issue VMC may have is that Messers Bosio and Adams put their DJ Carmichaels hats on and got some whiff of some information via this CA that VMC alleges they breached.
They then pulled that hat off - VMC alleges - and put on their SPX hats, and of course the other director had been coveting the Penny West asset for years. But what VMC alleges is that Bosio and Adams used the information given to them in confidence to get SPX's bid over the line.
So it literally does not matter if SPX had been coveting it for years. It does not matter if SPX had corrspondence with the vendor for any length of time. In fact, more the worse. Because if Messers B and A did in fact do what VMC alleges, and take for example, information about the offer VMC put to Patina, and used that information to make a better offer to Patina, with their SPX hats on, thereby sealing a deal betwixt Patina and Spectrum...that is what is called a no-no. As one poster Yak52 loves to loathe has said, they should have recused themselves and not put in a new big if they had found out anything whilst wearing their DJ's hats.
But sure, I'll be having a good chuckle as more people google "How do I win a Confidentiality Agreement Lawsuit"
As always...this is just my opinion of this. I know nothing factual. I'm just adding another layer of speculation to the speculation.
