@baldynumbers - I wouldn't presume to know the full story...if I had money on the line here then I would definitely look into it further.
perhaps you heard of the recent Tesla class action regarding their merger with solarcity...I maybe saw the merger as poorly managed at the time, but definitely not criminal, and yet they settled for $60m.
And there are plenty of examples like this. Hence why the majority of directors and companies have directors' insurance in place.
