LH114 your copy and paste of the BOD's resolution needs to been read in the context of its timing This resolution was a critical cash conservation move and obviously brought about as a result of ASIC's investigations into AVQ's performance, minimal cash in bank balance and quarterly expenditure projections through both the 1st and 2nd quarters of 2019.
We can determine that RM and BOD's made the decisions as a direct result of ASIC's investigations into AVQ's financial position, AVQ's projected cash flows, and AVQ's ongoing ability to trade solvently. Therefore RM and BOD's had no choice but to do the following;
1; convert RM's loan account to equity to reduce Co debt and
2; Have RM take a temporary salary reduction (until Co milestones are reached). Even though AVQ shareholders, a miserable Co performance track record over 9 years, a sustained share price loss over 9 years, massive shareholder dilution, out of line with industry salary levels and common decency, have been asking for this salary reduction (not temporary cut) over many years.
And watch when the following Board directive eventuates (if it ever does which is doubtful imo) ".......The precise operational milestones and the objectives that need to be achieved for the resumption of payment of Directors' fees and the payment of the Managing Director's remuneration at normal levels, have not yet been finally determined. However, the Board's intention is to link the achievement of important ijmmediate value creating milestones with the remuneration of the Board and the Managing Director." The bold highlights are mine, the words are the Boards. Clearly neither RM or the directors will suffer financially as a result of this temporary stay of draining cash from AVQ's very limited bank balance (shareholder's funds). The word immediate tells us that the Board has sanctioned that RM will recoup his unpaid salary when a "immediate value creating milestone" is achieved. If AVQ raises the critical funds (an immediate value creating milestone) it needs to survive, lets see how quickly RM withdraws his outstanding salary along with non specified terms not yet determined by the Board!
A tough gig for RM hey........ and all of his own doing.
