A protracted negotiation can be just that. A trading halt for a small company during this period is a wise move to make as it removes distractions, temptation, and possibly leverage. If they are negotiating a government contract there could be all sorts of people in the know of the potential transaction, and the requests for data/information to finalise negotiations could be substantial.
