I suspect this is a technical breach of s703 of the corps act because I'm guessing the placement shares (which were issued without a prospectus) were on-sold within 12 months, which is prohibited. It's a tricky area of the corps act and a breach does not necessarily suggest anything sinister, it may be an honest oversight.
