I just counted 22 cinemas in Victoria out of 58 in Australia. Appears that the 14 in Melbourne are closed.

Village Cinemas website says 74 cinema sites, being 58 in Australia and 16 in the US. Goodness knows how much of the cinemas revenue comes from those 16? Are they open?

FY19 annual report says 57 sites in Australia, no mention of any in the US.

Here's the wording from the deed. I read it as "majority", which means more than 50%, but also "75% of revenue", which likely means that the Melbourne cinemas would be quite important.

Additional offer price of $0.08 per share in the event that a majority of the Cinemas
business locations (representing 75% of Cinemas business revenue) have re-opened
to the public three business days prior to the day VRL shareholders meet and vote
    on the privatisation transaction.

I suspect the offer price might end up as $2.32 - although, the key date is said to be "3 days before a shareholder vote". Cinemas in Melbourne may re-open in the coming weeks?
