Every contract in business has out clauses like you have suggested. If finances do not recognise that no start up company or expanding company would get finance. Examples are contracting companies win contracts require machinery equipment etc go to a financier and get a loan based on the contract conditions which always have out clause if the contractor does not perform. I think your point is mute.
