It is muddle headed to try to link "reasonable person" and "confidentiality" too close together. The hypothetical reasonable person only gets to decide whether the information might have a material effect on price. The reasonable person does not have input into the workings of maintaining confidentiality or lack thereof. Any other interpretation of your flow chart is incorrect.
