Wellington Drive Technologies Limited - Amendment to Waiver Decision
Further to the NZX Regulation ("NZXR") waiver decision relating to Wellington
Drive Technologies Limited ("Wellington Drive"), dated 15 April 2015, NZXR
has been advised that there have been changes to the facts on which the
decision was made.
Wellington Drive has advised that it has agreed with SuperLife Limited
("SuperLife") to modify SuperLife's commitment to take up its full
entitlement under Wellington Drive's pro-rata renounceable rights offer
("Rights Offer"). SuperLife will instead take up rights under the Rights
Offer sufficient to maintain its 19.8% holding of ordinary shares in
Wellington Drive. SuperLife will take up the balance of the rights through
its underwriting of the Rights Offer (together with any shortfall if other
Wellington Drive shareholders do not take up their full entitlements).
These fact changes have been considered and incorporated into the attached
decision which replaces the decision released on 15 April.
