Way2VAT completes A$2 million Placement
• Way2VAT has received firm commitments to raise A$2 million via a placement at an issue price
of
A$0.007 per share, with strong support from new and existing professional and
sophisticated investors. Demand for the placement exceeded the size of the offer.
• Proceeds from the placement will be used primarily for working capital purposes and short
term bank debt reduction.
Global fintech leader in automated VAT claim and return solutions, Way2VAT Ltd (ASX:W2V,
Way2VAT or the Company), today announced that it has received firm commitments from new and
existing professional and sophisticated investors to raise approximately A$2 million (before costs), to
be completed via the issue of approximately 285.7 million fully paid ordinary shares in the Company
(Placement Shares) at an issue price of A$0.007 per Placement Share (Placement).
The proceeds from the Placement will primarily be used for working capital purposes and short term
bank debt reduction.
Way2VAT CEO Amos Simantov commented: “We are extremely pleased with the response to the

profitability”.
PLACEMENT DETAILS
The issue price of A$0.007 per Placement Share represents a 12.5% discount to the last closing price
of the Company's shares of A$0.008 on 28 May 2025 and a 18.4% discount to the 30-day volume
weighted average price (VWAP) of the Company's shares.
The Placement Shares under will be issued utilising the Company's existing placement capacity under
ASX Listing Rules 7.1 and 7.1A. 157,598,848 Placement Shares will be issued under ASX Listing Rule
7.1A and 128,115,433 Placement Shares will be issued under ASX Listing Rule 7.1. Settlement of the
Placement is expected to occur on Tuesday, 3 June 2025, with the Placement Shares to be allotted on
Thursday, 5 June 2025.
The Placement Shares under the Placement will, upon their issue, rank equally with the existing fully
paid ordinary shares in Way2VAT. The Company does not expect the placement to have any material
effect on the control of the Company. The Placement was made to a group of professional and
sophisticated investors, including participation from two current substantial shareholders.
This announcement is intended to lift the trading halt over the shares in the Company and is
authorised for release by the board of Way2VAT Ltd.
