The first two dot points are the trades. WAF gets to connect a spur line to Sanbrado (presumably at its own cost) but Orezone also gets access to the cheaper backup power from the plant at Sanbrado.

Orezone is a ~6Mtpa mill and requires a lot of power. They were screwed by their original power provider who had agreed to build an LNG power plant but then reneged on the deal once LNG prices went through the roof. Orezone is now suing the LNG provider. As a consequence Orezone had to hastily arrange expensive diesel power.

Orezone is also looking to expand its milling to ~10Mtpa and production to 250koz per year. By getting cheaper backup power from WAF it derisks Orezone's expansion power supply somewhat. The imported power from Ghana has been quite good apparently so far but that could change.
