Definitive Agreements - the Term Sheet contemplated a joint venture between Rumble and Bain. This has been
determined by both parties and their advisors to be a sub-optimal structure and the parties have agreed to
restructure the arrangement under three separate agreements:
o Co-operation Agreement
o Primary Facility Agreement (covering the working capital of up to $35 million)
o Specific Security Deed
These agreements have all been drafted and the parties are in the process of agreeing to the final wording. This
process has taken longer than anticipated and therefore the parties have mutually agreed to extend the CPs to
execute these agreements until 30 May 2025, which should be sufficient time.
