Anton, Piramal is not a shareholder of TSI.
TSI issued debentures to Piramal with an 8% interest yield (by memory).
Piramal can have those debentures converted to equity at the time TSI is listed on the Bombay exchange. or they can be paid back. TSI can also pay out the debentures early with an IRR of 16% (by memory).
I think with the strong cashflows we will see in the coming years that FND board will elect to have those debentures repaid to avoid dilution.
