12 November 2021 – Weebit Nano Limited (ASX: WBT) advises that the Board has resolved to withdraw Resolution 4 from the agenda of the Annual General Meeting of shareholders scheduled for 4:00pm (AEDT) on Tuesday, 16 November 2021. The Notice of Meeting was lodged with the ASX on 15 October 2021. Resolution 4 requested the approval for the issuance of an additional 10% of issued capital over a 12-month period. To be eligible to seek approval under ASX Listing Rule 7.1A, a listed entity must have a market capitalisation of $300 million or less and not be included in the S&P/ASX300 Index. As of 12 November 2021, the Company has a market capitalisation of approximately $421 million and is therefore ineligible to seek approval under ASX Listing Rule 7.1A. The withdrawal of Resolution 4 will not affect the validity of the proxy form attached to the Notice of Annual General Meeting or any proxy votes already submitted in respect of the remaining resolutions to be put to shareholders for approval.
