I can answer that. They offered the sophs a discount! Sophs are suckers for a discount and it does improve their odds a lot being able to flip some at a profit. I wouldn't rely on their judgement though. Most the downward spirals in ASX specs have featured sophs and even institutional investors buying in late with surprising naivety. As for positive management, I've never met a different kind. You should be careful adding in my view. Better to wait for tangible good news not promises from management. The completely implausible idea of a share buyback should be a warning.
