Cleverly orchestrated "take UNDER (not over)" , drive the share price lower on debt , convert the debt to equity at a really low shareprice, blocking anyone lese to take it over, and then mop up what's left of the register at what looks a generous premium to a very low share price they created.
The price is not fair, but who can come over them when they own 33% of the company already ..
