I would have thought we should know what it is before Zeta say that a condition has not been fulfilled. How to make a decision when the outcome could swing so far one way or the other? depending on whether this is negative or positive for remaining holders.

Yes, if Zeta thinks it's a material/price sensitive issue, presumably it's a material issue for the other shareholders. And either of the two directions that you lay out are material to the shareholders still deciding on whether to accept the Zeta bid. If there has been some kind of change, BGH should make an announcement. Or maybe its Zeta having a hissy fit.
