Like Klogg shared, there are legal mechanisms to sort out disputes in 50/50 JVs. Arbitration is a necessary (often required) step before exit clauses can be triggered. Beam believes (“robust legal position”) that they can trigger these clauses, such as due to a breach on Roadpost’s end. This will lead to either selling or buying the 50% stake. Both outcomes create more positive value for BCC shareholders than status quo.
