. Due diligence and acquisition related expenses for the
nine month period ending September 30, 2005 of $1,628,475 relate to the
investigation and due diligence associated with a potential corporate
acquisition in Australia. These costs comprised independent reserve
engineering fees, financing fees, legal and tax fees, fees for independent
consultants and travel costs. Due to the uncertainty regarding the outcome of
the transaction, these costs incurred during and before the 3rd quarter have
been recognized as an expense in the third quarter of 2005.
