Yes, it is not guaranteed to be a t/o - but it is more than a simple contract on clinical trials. We had lots of those announced with Ferriscan without having a TH.
A close tie up with someone like Pfizer without it being a t/o would be very good since it would virtually guarantee a faster entry to markets without us shareholders having to give up the blue sky beyond!
