Very true, (in very simple terms) without the Directors performing, there will be no share price increase and under the proposed plan, the Directors receive no benefit unless the share price actually goes up.

The "bonus" comes from the future capital gain that may/may not occur.

Remember, the Directors don't own the shares until they have paid for them,......

At the moment, they'll be paying a 47% premium to the current market price, and ensuring an approx $6 million cash injection into the Company when the loans are repaid.
