I agree with you but I cannot see a way in which the Board decision, assuming there was a formal meeting and vote on the matter, can be overturned.
It seems to me that there was a serious conflict of interest from the three Directors, who are the Plaintiffs, but without access to the Board Minutes that remains "opinion" not fact.
