NEW DELHI -- Pioneer Natural Resources Co. said Thursday it agreed to sell a 45% stake in the Eagle Ford natural-gas shale for $1.15 billion to India's Reliance Industries Ltd.

Under an agreement with a wholly owned unit of Reliance, India's biggest company by market value will pay $266 million in cash to Pioneer at the closing of the deal and another $879 million as its share of Pioneer's future drilling costs, the U.S. company said in a statement.

Reliance will also participate with Pioneer in the development of midstream assets in the Eagle Ford Shale as a 49.9% partner.

Pioneer said the deal is expected to close in five days.
